This NDA governs non-public information exchanged for the Hackathon. It supplements the Resources & Participation Terms, Privacy Policy, and Code of Conduct. If there is any conflict regarding IP ownership or submission licensing, the Resources & Participation Terms control
How you agree (e-signature & 18+)
By typing your full legal name in the E-Signature field and submitting this form (and by checking āI confirm I am 18 years or olderā), you:
- consent to use of electronic records and signatures (U.S. E-SIGN Act / eIDAS as applicable);
- acknowledge you've read and agree to this NDA; and
- represent you have authority to bind your team or employer (if applicable). If you cannot agree, do not submit the form and do not access any non-public materials.
1. Purpose
To evaluate, plan, and participate in the OPTIMAS x NeSy 2025 Hackathon, including access to datasets/evaluations, Q&A, mentorship, demonstrations, and judging (the 'Purpose').
2. Confidential Information
'Confidential Information' means any non-public information disclosed by a party (āDiscloserā) to the other (āRecipientā) in any form, that is (a) labeled or identified as confidential, or (b) reasonably understood to be confidential given the nature and circumstances. It includes: product plans; business/financial/customer data; credentials and access tokens; non-public datasets or dictionaries; evaluation scripts, prompts, or hidden test splits; model weights; and third-party information a party must protect.
Exclusions:Confidential Information does not include information that Recipient proves:
- is or becomes public through no breach;
- was known without restriction before disclosure;
- is independently developed without use of Discloser's Confidential Information; or
- is rightfully received from a third party without confidentiality duties.
Public forum carve-outs: Not Confidential: (a) content intentionally posted in public channels (e.g., #hackathon-tech-support forum or a public repo); (b) Submissions published for judging per the Resources & Participation Terms; and (c) aggregated, de-identified analytics about Hackathon activity.
Oral/Visual disclosures: Must be identified as confidential at disclosure and summarized in writing within 5 business days
3. Use & Protection
Recipient will:
- use Confidential Information only for the Purpose;
- protect it with at least the care Recipient uses for its own similar confidential data and no less than reasonable care;
- restrict access to need-to-know personnel (including contractors/mentors/advisors/judges supporting the Purpose) who are bound by written obligations no less protective; and
- promptly notify Discloser of any unauthorized use/disclosure and cooperate in remediation.
Recipient will not reverse-engineer encrypted datasets/evaluation binaries, bypass access controls, or derive secret labels/splits except as expressly permitted for the Purpose. No licenses are granted other than the limited right to use Confidential Information for the Purpose.
4. Required Disclosure
If compelled by law/regulator/court to disclose Confidential Information, Recipient may do so provided it gives Discloser prompt notice (where lawful) and reasonably cooperates to seek protective treatment.
5. Security, Retention & Deletion
- Store Confidential Information in secure systems with least-privilege access.
- Never expose credentials/tokens in public code, screenshots, or posts
- On Discloser's written request or termination/expiration, promptly return or destroy Confidential Information and certify deletion, except for (i) routine backups auto-deleted in ordinary course and (ii) records retained to comply with law; retained copies remain subject to this NDA.
6. Term; Survival
This NDA begins on the Effective Date and continues 3 years after the later of (a) the Hackathon's end or (b) the last disclosure. For trade secrets, obligations last as long as the information remains a trade secret under applicable law.
7. Feedback & Submissions
- Feedback to OPTIMAS is voluntary and may be used to improve OPTIMAS products/services without obligation unless clearly marked 'OPTIMAS Confidential' and summarized.
- Submissions (code/models/write-ups) are governed by the Resources & Participation Terms; this NDA does not change IP ownership or submission licensing.
8. Warranty; Liability
Confidential Information is provided āas is.ā Neither party is liable for indirect, incidental, special, consequential, or punitive damages arising from this NDA. Nothing limits liability for unauthorized use/disclosure of Confidential Information, willful misconduct, or amounts that cannot be limited by law.
9. Equitable Relief
Unauthorized use/disclosure may cause irreparable harm. The injured party may seek injunctive/equitable relief without bond, in addition to other remedies.
10. Export & Sanctions
Each party will comply with applicable export control and sanctions laws. Recipient will not export or provide access to Confidential Information contrary to such laws.
11. Assignment; Affiliates
Neither party may assign this NDA without the other's written consent, except OPTIMAS may assign to an affiliate or in connection with a merger, acquisition, or sale of assets. OPTIMAS may use Affiliates and service providers bound by confidentiality obligations to perform hereunder
12. Relationship; Entire Agreement; Order of Precedence
The parties are independent contractors. This NDA (with the Resources & Participation Terms, Privacy Policy, and Code of Conduct) is the entire agreement on confidentiality for the Purpose and supersedes prior NDAs regarding the Purpose. Order of precedence: (1) Resources & Participation Terms (for IP/submission rules), (2) this NDA, then (3) any conflicting oral statements
13. Governing Law; Venue
This NDA is governed by California law (conflicts-of-law rules excluded). Exclusive venue and jurisdiction: state or federal courts in San Francisco County, California.

15. Intellectual Property (IP)
- Ownership of Submission:
All submissions, code, designs, models, documentation, and other materials developed by participants during the Hackathon ('Submissions') are and shall remain the exclusive property of Optimas.ai Inc.
As a condition of entry, participants hereby assign all rights, title, and interest in Submissions to Optimas.ai, including all intellectual property rights worldwide.
16. Acknowledgement & Signature
By entering my full legal name above and selecting 'Accept,' I (a) agree to this NDA as of the Effective Date (the UTC timestamp on this form); (b) consent to transact electronically and to the use of my electronic signature; and (c) confirm I am 18 years or older. If I sign on behalf of a team or employer, I represent that I am authorized to bind them.
